1. ACCEPTANCE OF TERMS

By accessing or using services provided by Ferguson Fire Protection LLC (“Company,” “we,” “us,” or “our”), including our website at fergusonfireprotection.com, customer portal powered by Guspora™, mobile applications, and all related inspection, maintenance, and compliance services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use our services.

2. DESCRIPTION OF SERVICES

Ferguson Fire Protection LLC provides fire protection and life-safety inspection, service, maintenance, repair, testing, and compliance documentation services. Our services include but are not limited to:

- Fire extinguisher inspection, testing, and maintenance (NFPA 10)
- Commercial kitchen hood suppression system service (NFPA 17A / NFPA 96 / UL 300)
- Emergency and exit lighting inspection (NFPA 101)
- Detection and shutdown/interlock testing
- Clean agent, industrial, marine, and special hazard systems
- Compliance reporting, documentation, and AHJ submissions
- AI-assisted inspection documentation and report generation
- Virtual inspection and remote consultation services

Services are performed by licensed technicians holding Kentucky fire protection licenses RC00039 (Range Hood) and CC00092 (Chemical Systems).

3. CUSTOMER PORTAL & TECHNOLOGY

Our customer portal is powered by Guspora™, a proprietary inspection management platform. Through the portal, customers may:

View inspection reports and compliance history
Track equipment status and upcoming due dates
Review and pay invoices online
Accept service agreements digitally
Communicate with our team
Access deficiency reports and corrective action status

Use of the customer portal is governed by these Terms and the Guspora™ Platform Terms of Service available at guspora.com/legal/terms.

4. ACCOUNT REGISTRATION

To access certain features, you must create an account. You agree to provide accurate, current, and complete information, maintain the security of your login credentials, accept responsibility for all activities under your account, and notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms.

5. PAYMENT TERMS

Payment is due within fifteen (15) days of invoice date. Late payments are subject to a 1.5% monthly charge (18% annually) beginning on day 21. Repair and installation services require a 50% deposit prior to scheduling. All services are subject to Kentucky sales tax (6%) unless a valid tax exemption certificate is provided.Credit card, debit card, and ACH payments may be subject to a non-refundable convenience fee of 3% (card) or 1% (ACH). Cash and check payments are not subject to this fee. Convenience fees are disclosed prior to payment processing and are permitted under Kentucky law (KRS 365.560).

6. SCHEDULING & CANCELLATION

Cancellations with less than 24 hours notice, no-shows, or refusal of authorized work upon arrival may result in a cancellation fee equal to the standard trip charge. Repeated cancellations may result in termination of service agreements at our discretion.If Customer cancels a scheduled appointment with less than twenty-four (24) hours notice, is a no-show, or refuses authorized work upon arrival, Customer may be charged a cancellation/refusal fee equal to the standard trip charge for that location. Repeated cancellations or no-shows may result in termination of any service agreement at Contractor’s discretion.

7. INSPECTIONS ARE PROFESSIONAL SERVICES

Inspections are billable professional services requiring licensed technicians, specialized tools, NFPA-compliant documentation, and legal liability. They are not provided as free quotes or estimates. 8. AI-ASSISTED DOCUMENTATION

We use artificial intelligence tools to assist with inspection documentation, including voice-to-text transcription and automated report generation. All AI-generated content is reviewed by licensed technicians before finalization. While we strive for accuracy, AI-generated content is provided as a documentation aid and the licensed technician’s professional judgment governs the final report.

9. PHOTO, VIDEO & AUDIO CONSENT

By engaging our services, you consent to the capture of photographs, video recordings, and audio recordings during service performance. These recordings are used for inspection documentation, compliance reporting, quality assurance, training, dispute resolution, and legal defense. We may use AI-powered recording devices including smart glasses and body cameras for hands-free documentation.

10. DEFICIENCY REPORTING & LEGAL OBLIGATIONS

We are legally required by NFPA codes, state fire codes, and professional ethics to report non-compliant, impaired, or dangerous fire protection systems to the Authority Having Jurisdiction (AHJ). This includes red-tagged systems, expired equipment, tampered devices, and fraudulently serviced equipment. We cannot waive this obligation and shall not be held liable for consequences arising from legally required reporting.

11. LIMITATION OF LIABILITY

Our total liability shall not exceed the total amount paid for the specific services giving rise to the claim during the twelve (12) months preceding the event. We are not liable for indirect, incidental, consequential, or punitive damages. We are not liable for losses arising from failure to correct reported deficiencies, equipment tampering, failure to maintain required maintenance schedules, acts of third parties, or causes beyond our reasonable control.

12. INTELLECTUAL PROPERTY

All inspection report templates, forms, checklists, software, and documentation formats are the intellectual property of Ferguson Fire Protection LLC and/or Guspora™. Customers receive a limited license to use inspection reports for their compliance purposes. Reports may not be modified, redistributed, or used to solicit competing bids without written permission.

13. PRIVACY

Your privacy is important to us. Our collection, use, and protection of personal information is governed by our Privacy Policy available at fergusonfireprotection.com/privacy. By using our services, you consent to the practices described in our Privacy Policy.

14. ELECTRONIC COMMUNICATIONS

You consent to receiving communications via email, SMS, and automated platform notifications. These may include appointment reminders, inspection results, invoice notifications, compliance alerts, and promotional offers. You may opt out of promotional communications at any time.Both parties agree to keep confidential all pricing information, business strategies, customer lists, trade secrets, and proprietary processes disclosed during the course of this relationship. Customer shall not share Contractor’s pricing, proposals, or inspection reports with competing service providers for the purpose of obtaining competitive bids.

15. DISPUTE RESOLUTION

Any dispute shall first be submitted to good-faith mediation. If unresolved after 30 days, either party may pursue binding arbitration in Nelson County, Kentucky under the AAA Commercial Arbitration Rules. Nothing in this section prevents either party from seeking emergency injunctive relief.

16. GOVERNING LAW

These Terms are governed by the laws of the Commonwealth of Kentucky. Legal proceedings shall be brought exclusively in the courts of Nelson County, Kentucky.

17. MODIFICATIONS

We reserve the right to update these Terms at any time. Material changes will be communicated via email or portal notification at least 30 days prior to taking effect. Continued use of our services after changes take effect constitutes acceptance.

18. SEVERABILITY

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
